1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of BandFlow Studio, a service provided by Najite Global LTD ("we," "us," or "our"). By accessing or using BandFlow Studio, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use BandFlow Studio.

2. Description of Service

BandFlow Studio is a live performance companion app for musicians and bands, featuring:

• Loops: Browse and download backing tracks by genre, with offline playback capability
• Setlists: Create and manage song setlists for live performances with BPM and time signature tracking
• Live Mode: Performance tools including click track, metronome, microphone input with EQ controls, and BPM sync

We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice.

3. User Accounts

To use certain features of BandFlow Studio, you may be required to create an account. You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Acceptable Use

You agree not to use BandFlow Studio to:

• Violate any applicable laws or regulations
• Infringe on the rights of others, including copyright holders
• Upload or distribute malicious code or viruses
• Engage in spam, harassment, or abusive behavior
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the service
• Use the service for any illegal or unauthorized purpose
• Redistribute, resell, or share backing tracks outside of the app

5. Content and Licensing

Backing Tracks and Loops: All backing tracks, loops, and audio content provided through BandFlow Studio are licensed for personal performance use only. You may not:

• Redistribute or share backing tracks outside of the app
• Use backing tracks for commercial recordings without proper licensing
• Claim ownership of any provided audio content
• Extract or reverse-engineer audio content from the app

Your Content: You retain ownership of any setlists, notes, or custom audio you create or upload. By using BandFlow Studio, you grant us a limited license to store and sync this content for the purpose of providing the service.

6. Intellectual Property

All content, features, and functionality of BandFlow Studio, including but not limited to software, user interface, graphics, logos, and backing tracks, are owned by Najite Global LTD or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use BandFlow Studio for personal or professional performance purposes.

7. Privacy and Permissions

BandFlow Studio requires certain permissions to function properly:

• Microphone Access: Required for Live mode and audio input features
• Storage Access: For saving setlists, favorites, and offline backing tracks
• Audio Playback: For playing backing tracks and metronome

Your use of BandFlow Studio is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8. Payment and Subscriptions

Some features of BandFlow Studio may require payment or subscription. If you choose to purchase:

• You agree to pay all fees associated with your subscription
• All payments are processed securely through Apple App Store or Google Play Store
• Subscriptions automatically renew unless cancelled before the renewal date
• Refunds are subject to the policies of the App Store or Play Store
• Cancellation must be made through your App Store or Play Store account settings

9. Performance and Live Use

BandFlow Studio is designed for live performance use. However:

• We recommend testing all features before live performances
• We are not liable for any performance issues, technical failures, or audio problems during live use
• Always have backup plans for critical performances
• Ensure your device is properly charged and has adequate storage

10. Disclaimers and Limitation of Liability

BandFlow Studio is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, Najite Global LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of BandFlow Studio, including but not limited to lost performances, equipment damage, or audio quality issues.

11. Indemnification

You agree to indemnify and hold harmless Najite Global LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of BandFlow Studio or violation of these Terms.

12. Termination

We may terminate or suspend your access to BandFlow Studio at any time, with or without cause, with or without notice. Upon termination, your right to use the service will immediately cease.

You may terminate your account at any time by contacting us or deleting the app from your device.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date.

Your continued use of BandFlow Studio after changes are posted constitutes your acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of BandFlow Studio shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
